Over the years he did many promotions to advertise the restaurant and bring in customers, to include a 2-for-1 coupon deal where customers could get two meals for the price of one. However, he decided to retire and sold Stanâs Place to David Deosoran. David also chose to own and operate the restaurant as a sole proprietorship. Although he agreed to keep the name âStanâs Place,â he switched the menu from Italian to German. He also placed a sign stating âUnder New Ownership.â He also discontinued the type of promotions Paul promoted, but people still came in with the 2-for-1 coupons.

Is David Deosoran legally obligated to accept these coupons? Why or why not? Would your answer had been different if the restaurant was organized as a corporation?
